These Terms of Service ("Terms") govern your access to and use of Holgo, including our website, applications, APIs, artificial intelligence features, marketplace integrations, and related services (collectively, the "Service").
Holgo ("Holgo", "holgo.com", "we", "our", or "us") provides the Service. By creating an account, purchasing a subscription or credits, uploading content, connecting a marketplace account, or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
You must be at least eighteen (18) years old and able to form a binding contract to use the Service. You represent that the information you provide is accurate, that you will keep it current, and that your use of the Service complies with all applicable laws. We may refuse, suspend, or discontinue the Service to anyone at any time to the extent permitted by law.
Holgo is an AI listing tool for online sellers across many marketplaces. You upload one or more photos of an item, our AI recognizes the product and generates listing content (such as a title, description, category, item specifics, condition, and suggested price) tailored to the destination you choose.
We support two ways of publishing:
Holgo publishes one listing to one destination at a time. We do not provide cross-listing, inventory management, order fulfillment, shipping, tax filing, or payment collection for your sales.
To use the Service you must create an account. You are responsible for safeguarding your credentials and for all activity that occurs under your account. You may create or join organizations to collaborate with others; the organization owner is responsible for managing member access and for members' use of the Service. Notify us promptly at ceo@holgo.com if you suspect any unauthorized use.
AI recognition and listing generation consume credits. Credits may be provided through subscriptions, one-time purchases, credit packs, promotions, trials, or referrals, as determined by us.
Paid subscriptions renew automatically for successive periods (for example, monthly or annually) at the then-current price until you cancel. Your payment method will be charged at the start of each renewal period. You may cancel at any time through your billing settings; cancellation takes effect at the end of the current billing period, and you will retain access until then. You will not receive a refund for the current period except where required by law.
We may offer free trials or promotional credits. These may be modified or withdrawn at any time, are limited to one per user or organization unless stated otherwise, are non-transferable, and have no cash value. We may withhold or revoke promotional credits if we determine that they were obtained through abuse, duplicate accounts, or fraud.
When you connect a marketplace account, you authorize Holgo to access that account through the marketplace's official API solely to provide the Service (for example, to read your business policies and to create and publish listings). You may disconnect at any time.
You remain solely responsible for your listings and for complying with the rules, policies, fees, and taxes of each marketplace you use, as well as for the accuracy, legality, and fulfillment of your sales. Holgo is an independent tool and is not affiliated with, endorsed by, or sponsored by Etsy or any other marketplace. All marketplace names and logos are the trademarks of their respective owners, used for identification only.
Listing content produced by the Service is generated by artificial intelligence and is provided for your review. AI output may contain errors, inaccuracies, or omissions, and it does not constitute legal, tax, pricing, or professional advice. You are responsible for reviewing, editing, and verifying all generated content before publishing it, including its accuracy and its compliance with applicable laws and marketplace policies. We do not guarantee that a listing will be accepted by any marketplace or result in any sale.
You retain all rights to the photos, product data, and other content you submit ("Your Content"). By submitting Your Content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, and transmit it as necessary to operate and provide the Service — including sending images and product data to our third-party AI providers for recognition and generation, and to marketplaces you choose to publish to.
You represent and warrant that you own or have the necessary rights to Your Content and that it does not infringe the intellectual property, privacy, or other rights of any person, and does not violate any law or marketplace policy.
If you send us suggestions or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free license to use it for any purpose without obligation to you.

The Service, including its software, models, design, and original content, is owned by Holgo and protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service. These Terms do not grant you any right in our trademarks or branding.
The Service relies on third parties, including AI providers, marketplaces, and payment, email, and infrastructure providers. Your use of those services through Holgo may also be subject to their respective terms and privacy practices, and we are not responsible for third-party services.
We may offer features identified as beta, preview, or experimental. These are provided "as is" for evaluation, may be changed or discontinued at any time, and may be subject to additional terms.
We may modify, suspend, or discontinue any part of the Service at any time. We aim to keep the Service available but do not guarantee uninterrupted or error-free operation, and we may perform maintenance that affects availability.
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that AI-generated content will be accurate or fit for any particular purpose.
To the maximum extent permitted by law, Holgo will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim arising out of or relating to the Service or these Terms will not exceed the greater of the amount you paid us in the twelve (12) months before the event giving rise to the claim, or one hundred U.S. dollars (USD $100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
You agree to indemnify and hold harmless Holgo and its personnel from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to Your Content, your listings, your use of the Service, or your violation of these Terms or of any law or marketplace policy.
You may stop using the Service and close your account at any time. We may suspend or terminate your access at any time if you violate these Terms, if required by law, or if we discontinue the Service. Upon termination, your right to use the Service ends. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.
These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law principles.
Before filing a claim, you agree to first try to resolve the dispute informally by contacting us at ceo@holgo.com and allowing at least thirty (30) days for us to work toward a resolution. If we cannot resolve the dispute within that period, you and Holgo agree that any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in San Francisco, California, and you consent to personal jurisdiction there.
You represent that you are not located in, and will not use the Service in, any country or region subject to comprehensive sanctions, and that you are not on any government restricted-party or denied-persons list.
By using the Service, you consent to receive communications from us electronically (such as emails and in-product notices), and you agree that electronic communications satisfy any legal requirement that a communication be in writing.
These Terms, together with the Privacy Policy, are the entire agreement between you and Holgo regarding the Service. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays or failures caused by events beyond its reasonable control. Section headings are for convenience only, and these Terms create no third-party beneficiaries.
We may update these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms on this page and revising the date above. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
